1. Acceptance of Terms

These Terms of Service ("Terms") are a binding legal agreement between you ("you" or "User") and ARQDIA MAYA LTD (ארקדיה מאיה בע״מ), a Private Limited Liability Company registered in Israel under Tax ID 517277141 ("Arqdia", "we", "us", or "our").

By accessing or using our website at https://arqdia.com, creating an account, or using any of our services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

2. Description of Services

Arqdia provides a cloud-based property-management platform that helps short-term rental operators manage their properties, reservations, pricing, team, and guest communications. The Services include, but are not limited to:

  • The Arqdia web application (ArqLyst dashboard, ArqChat AI assistant, team management, and account settings);
  • Integrations with third-party property-management systems (PMS) such as Guesty, Mews, and Lodgify;
  • AI-powered decision-making, pricing recommendations, and operational insights;
  • SMS and WhatsApp messaging for account verification, notifications, and decision approvals.

3. Accounts & Registration

To use the Services, you must create an account by providing accurate and complete information, including your name, email address, and optionally a phone number. You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • All activities that occur under your account;
  • Notifying us immediately at compliance@arqdia.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

4. SMS & WhatsApp Messaging Program

By providing your phone number during registration or in your account settings, you expressly consent to receive SMS text messages and/or WhatsApp messages from Arqdia. These messages may include:

  • One-time verification codes (OTP);
  • Account and security notifications;
  • Operational alerts such as decision approvals and property updates;
  • Service-related announcements.

Message frequency: Message frequency varies based on your account activity and notification preferences.

Message & data rates: Standard message and data rates from your mobile carrier may apply.

Opt-out: You may opt out of SMS messages at any time by replying STOP to any message you receive from us. After opting out, you will receive a one-time confirmation message. You may also manage your messaging preferences in your account settings or by contacting compliance@arqdia.com.

Arqdia does not sell, rent, or share your phone number or messaging opt-in data with third parties for their marketing purposes. For full details on how we handle your data, see our Privacy Policy.

Carriers are not liable for delayed or undelivered messages.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to the Services or other users' accounts;
  • Reverse-engineer, decompile, or disassemble any part of the Services;
  • Transmit viruses, malware, or any other harmful code through the Services;
  • Use automated means to scrape, crawl, or extract data from the Services without our written consent;
  • Interfere with or disrupt the integrity or performance of the Services.

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, software, and the underlying code — are the exclusive property of ARQDIA MAYA LTD and are protected by copyright, trademark, and other intellectual-property laws.

You retain ownership of any data you upload to the Services. By uploading content, you grant us a limited license to use it solely to provide and improve the Services on your behalf.

7. Third-Party Integrations

The Services may integrate with third-party platforms (e.g., Guesty, Mews, Lodgify, Twilio, PriceLabs, Google, Slack). Your use of those integrations is subject to the respective third-party's own terms of service and privacy policies. Arqdia is not responsible for the availability, accuracy, or practices of third-party services.

8. Payment & Billing

Certain features of the Services may require a paid subscription. By subscribing to a paid plan, you agree to pay the fees indicated at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law.

We reserve the right to change our pricing with reasonable notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

9. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access to the Services at our discretion if we believe you have violated these Terms, with or without prior notice.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Arqdia does not warrant that the Services will be uninterrupted, error-free, or secure. AI-generated recommendations and insights are provided for informational purposes and should not be relied upon as the sole basis for business decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARQDIA MAYA LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising from or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ARQDIA MAYA LTD and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms or your use of the Services.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv-Jaffa, Israel.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify you via email or a prominent notice within the Services. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
